1. Agreement to terms
By creating an account on Vouch ("Vouch") you agree to these terms. If you're accepting on behalf of a company, you represent you have authority to bind that company.
2. Service description
Vouch is a software platform for HR and compliance teams to generate, assign, and audit mandatory training programs. We do not provide legal advice. Course content generated by the platform is derived from documents you upload and should be reviewed by qualified counsel before being relied upon for compliance purposes.
3. Your account
You're responsible for the activity on your account, for protecting your login credentials, and for the actions of users you add to your workspace. Notify us immediately of any unauthorized access at security@vouchtraining.io.
4. Your content
You retain all rights to content you upload (policies, course content, attestations). You grant Vouch a limited license to process that content solely to provide the service: storing it, indexing it for retrieval, generating courses from it, and producing audit-pack exports.
You represent that you have the right to upload everything you upload, and that your content does not violate any third-party rights or applicable law.
5. AI-generated content
Course content and coverage reports are produced in part using AI. The output is based on the inputs you provide and is not pre-reviewed by legal counsel. We provide tools (source citations, coverage checks) to help you assess accuracy before relying on it. You are responsible for reviewing AI output before using it for compliance purposes.
6. Payment
Paid plans are billed by Stripe under our active-employee pricing. Annual plans are billed in advance and non-refundable except as required by law. Monthly plans renew automatically until cancelled. You can cancel anytime from the Workspace → Billing page.
7. Acceptable use
You may not:
- Use Vouch to generate content unrelated to legitimate HR / compliance training.
- Upload content you don't have the right to share.
- Attempt to reverse-engineer, decompile, or scrape the platform.
- Use Vouch to compete with us — i.e., to build a competing product.
- Bypass access controls or impersonate other users.
8. Termination
We may suspend or terminate accounts that violate these terms. You may cancel your account anytime; on cancellation we retain your data for 30 days (in case you reactivate) and then purge it, subject to legal retention requirements.
9. Disclaimers
Vouch is provided "as is". We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated content will be legally sufficient for your specific jurisdiction.
10. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of these terms is capped at the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater. We are not liable for indirect, consequential, special, or punitive damages.
11. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes are resolved exclusively in the state or federal courts of Delaware.
12. Changes
We may update these terms. Material changes are notified 30 days in advance by email to workspace admins. Continued use after the change date constitutes acceptance.
